5. WINNER SELECTION
5.1 Drawing Procedure
Winners will be selected through a fair, tamper-proof algorithmic procedure implemented by Sponsor. The selection algorithm is designed to ensure random selection among all eligible entries with equal probability for each entry.
5.2 Finality
All decisions of Sponsor regarding winner selection, eligibility, and interpretation of these Official Rules are final and binding, and not subject to challenge or appeal.
5.3 Odds of Winning
The odds of winning depend on the total number of eligible entries received during the applicable entry period.

Sponsor may, in its sole discretion, select an alternate winner.
8. TAX RESPONSIBILITY
8.1 General
All federal, state, local, and foreign taxes on prizes are the sole responsibility of the winner. Prizes awarded to U.S. persons valued at $600 or more will be reported to the Internal Revenue Service. Winners may be required to provide a valid Social Security Number or Taxpayer Identification Number for tax reporting purposes.
8.2 International Winners
For non-U.S. winners, withholding of up to thirty percent (30%) of the prize value may be required under U.S. tax law, unless reduced by an applicable tax treaty. Winners are responsible for complying with all tax laws in their jurisdiction of residence.
8.3 Tax Advice
Sponsor does not provide tax advice. Winners are encouraged to consult with a qualified tax professional regarding the tax implications of receiving a prize.

The following conduct is strictly prohibited and will result in immediate disqualification and forfeiture of any prizes:

- (a) Suspected fraud, manipulation, or integrity concerns;
- (b) Technical failures or errors;
- (c) Insufficient participation;
- (d) Changes in applicable law or regulation;

- (f) Any other reason determined by Sponsor in its sole discretion.
10.3 No Liability for Cancellation
In the event of cancellation, Sponsor shall have no obligation to conduct an alternate drawing, award any prizes, or provide any compensation to entrants. Entrants acknowledge and agree that they have no expectation of or entitlement to any Prize Drawing and waive any and all claims arising from the cancellation, suspension, or modification of any Prize Drawing.
11. LIMITATION OF LIABILITY
11.1 Release
By entering a Prize Drawing, each entrant agrees to release, discharge, indemnify, and hold harmless Sponsor and its parent, subsidiary, and affiliated companies, and their respective officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Released Parties") from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- (a) Participation in any Prize Drawing;
- (b) Acceptance, possession, use, or misuse of any prize;
- (c) Any injury, damage, or loss of any kind arising from or relating to participation in a Prize Drawing or any prize;
- (d) Any technical failures, errors, or malfunctions;
- (e) Any typographical, printing, or other errors in any Prize Drawing materials; and
- (f) Any claims by third parties.
11.2 Disclaimer of Warranties
THE RELEASED PARTIES MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, WITH RESPECT TO THE PRIZE DRAWINGS, PRIZES, OR ANY RELATED MATERIALS OR SERVICES.
11.3 Limitation of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO ANY PRIZE DRAWING OR THESE OFFICIAL RULES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
(b) THE RELEASED PARTIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY PRIZE DRAWING OR THESE OFFICIAL RULES SHALL NOT EXCEED THE VALUE OF THE PRIZE AT ISSUE, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS LESS; AND
(c) ENTRANTS WAIVE ANY AND ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.
11.4 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
12. DISPUTES, GOVERNING LAW, AND ARBITRATION
12.1 Governing Law
These Official Rules and any disputes arising out of or relating to any Prize Drawing shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
12.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, entrant agrees to first contact Sponsor at legal@manifold.markets to attempt to resolve any dispute informally. The parties agree to negotiate in good faith for at least thirty (30) days before initiating arbitration.
12.3 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Official Rules, any Prize Drawing, or any prize (collectively, "Disputes") shall be resolved exclusively by final and binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules (the "JAMS Rules"), as modified by this Section.
12.4 Arbitration Procedures
(a) Arbitrator Selection: The arbitration shall be conducted by a single neutral arbitrator selected in accordance with the JAMS Rules.
(b) Location: The arbitration shall be conducted in San Francisco, California, unless the parties mutually agree otherwise or the arbitrator determines that such location would impose an undue burden on the entrant, in which case the arbitration may be conducted by telephone, videoconference, or written submissions.
(c) Language: The arbitration shall be conducted in English.
(d) Confidentiality: The arbitration proceedings and any award shall be confidential, except as necessary to enforce the award or as required by law.
(e) Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, applicability, and enforceability of this arbitration agreement. The arbitrator shall have the authority to grant any remedy that would be available in court, except as limited by these Official Rules.
(f) Fees and Costs: Each party shall bear its own costs and attorneys' fees, and the parties shall share equally the fees and costs of the arbitrator and JAMS, except: (i) Sponsor will pay all arbitration fees and costs that entrant would not be required to pay if the dispute were litigated in court; and (ii) if the arbitrator finds that either party's claim or defense was frivolous, brought in bad faith, or asserted for an improper purpose (such as to harass, cause unnecessary delay, or needlessly increase the cost of dispute resolution), the arbitrator may award the prevailing party its reasonable attorneys' fees and costs incurred as a result of such conduct.
(g) Award: The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
12.5 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ENTRANT AGREES THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If for any reason a claim proceeds in court rather than in arbitration, both entrant and Sponsor waive any right to a jury trial. Entrant and Sponsor agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
12.6 Exceptions to Arbitration
Notwithstanding the foregoing, the following claims are not subject to arbitration:
- (a) Claims seeking injunctive or other equitable relief in aid of arbitration;
- (b) Claims within the jurisdiction of a small claims court; and
- (c) Claims by Sponsor for intellectual property infringement, fraud, or violation of these Official Rules.
12.7 Severability of Arbitration Provisions
If any portion of this Section 12 is found to be unenforceable, the remaining portions shall remain in full force and effect. If the class action waiver in Section 12.5 is found to be unenforceable as to a particular claim, then that claim (and only that claim) shall be severed from arbitration and may proceed in court, while all other claims shall be resolved in arbitration.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Official Rules constitute the entire agreement between entrant and Sponsor with respect to the Prize Drawings and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13.2 Amendments
Sponsor reserves the right to amend these Official Rules at any time. Material changes will be posted on the Prize Drawing Page. Continued participation in Prize Drawings following the posting of amended Official Rules constitutes acceptance of such amendments.
13.3 Severability
If any provision of these Official Rules is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.
13.4 Waiver
Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision or any other provision.
13.5 Assignment
Sponsor may assign these Official Rules and its rights and obligations hereunder without restriction. Entrant may not assign any rights or obligations under these Official Rules.
13.6 Force Majeure
Sponsor shall not be liable for any failure or delay in conducting a Prize Drawing due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, pandemic, natural disaster, technical failure, or other force majeure events.
13.7 Headings
Section headings are for convenience only and shall not affect the interpretation of these Official Rules.
14. PRIVACY
14.1 Information Collection
By entering a Prize Drawing, entrant acknowledges and agrees that Sponsor may collect, use, and disclose personal information as described in Sponsor's Privacy Policy, available at https://manifold.markets/privacy.
14.2 Use of Information
Personal information collected in connection with Prize Drawings will be used for the purposes of administering Prize Drawings, verifying eligibility, awarding prizes, complying with legal obligations, and as otherwise described in the Privacy Policy.
14.3 Publicity
Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use winner's name, likeness, biographical information, and statements for advertising, promotional, and publicity purposes in any media, worldwide, in perpetuity, without additional compensation, notification, or permission.
